Terms of Service

The short version. Spanish Buddy is a free Mexican Spanish learning service provided by Factorial Labs LLC. You may use it for personal, non-commercial learning. The curriculum, mascot, and brand belong to us; you may not copy, redistribute, or use the content commercially without our written permission. The service is provided "as-is" with no warranty. By using Spanish Buddy you agree to these terms.

1. Who provides the service

Spanish Buddy is operated by Factorial Labs LLC, a Wyoming limited liability company ("we", "us", "our"). The service is the web application available at spanishbuddy.app and any related pages we publish (collectively, "the Service").

2. Eligibility

There is no account, signup, or registration required to use Spanish Buddy. Anyone with a compatible web browser can access the Service. We do not impose an age restriction.

In line with the United States Children's Online Privacy Protection Act (COPPA), we do not knowingly collect personal information from children under the age of 13. See our Privacy Policy for more on how data is handled.

3. Your use of the Service

You may use Spanish Buddy for your own personal, non-commercial language learning. You agree not to:

Reverse-engineer, decompile, or disassemble the Service for commercial purposes
Scrape, mass-download, or systematically extract the curriculum content for republication
Use automated tools to interact with the Service in ways that interfere with normal use
Introduce or transmit any malicious code, viruses, or harmful material in connection with the Service
Use the Service in any manner that violates applicable law

4. Intellectual property

All content on Spanish Buddy, including but not limited to the Mexican Spanish A1 to B1 curriculum, the Howl chihuahua mascot, the Spanish Buddy wordmark and visual identity, the source code, the design system, audio (if any), all imagery and illustrations, all written lesson content, and the overall arrangement and presentation of the Service, is the property of Factorial Labs LLC or its licensors, and is protected by United States and international copyright, trademark, and other intellectual-property laws.

License for personal use. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Spanish Buddy for your own personal, non-commercial language learning.

What you may not do without our prior written consent:

Copy, reproduce, distribute, or republish any portion of the curriculum or content
Use Spanish Buddy content for any commercial purpose
Resell, sublicense, or otherwise commercialize the Service or its content
Create derivative works based on the curriculum
Remove or alter any copyright, trademark, or other proprietary notices

Permitted social sharing. Sharing screenshots or auto-generated images of your own lesson progress, including via the in-app "Share" feature on the lesson-complete page, is encouraged. This permission does not extend to copying or republishing the curriculum content itself.

5. Free of charge

Spanish Buddy is provided free of charge. We do not currently offer any paid plans. If we introduce paid features in the future, those will be governed by separate terms presented at the time of purchase.

6. Third-party services

The Service incorporates components served from third parties, including Google Fonts, Cloudflare CDN, the Buy Me a Coffee button widget, Google Analytics 4 for anonymized usage measurement, and the jsDelivr CDN, which serves the cookie-consent banner library. Your use of those third-party components is subject to their respective terms and privacy practices. How analytics data is handled, and how you can opt out, is described in our Privacy Policy. We are not responsible for the practices of any third party.

7. User-submitted content

Spanish Buddy does not accept user-submitted content for publication. Any text you enter into the app (such as your name in onboarding, or sentences in output exercises) is stored locally on your device only. We have no access to it.

8. Disclaimer of warranties

Spanish Buddy is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy or completeness of the curriculum content for any particular purpose. Language learning is a personal journey and individual results vary.

9. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Factorial Labs LLC, its members, employees, contractors, or affiliates be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or use, whether in contract, tort (including negligence), or any other legal theory, arising out of or related to your use of (or inability to use) the Service.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed US $50.00.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain types of damages. To that extent, certain of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Factorial Labs LLC and its members, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service or your violation of these Terms.

11. Termination

We may suspend, restrict, or terminate your access to Spanish Buddy at any time, for any reason, with or without notice. You may stop using the Service at any time by closing your browser and, if you wish, clearing your local data.

12. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Wyoming will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that we may seek injunctive relief in any competent court.

13. Changes to these Terms

We may revise these Terms from time to time. The "Last updated" date at the top reflects the most recent change. If a change is material, we will note it visibly on the page. By continuing to use the Service after a revision, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

15. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Factorial Labs LLC regarding your use of Spanish Buddy and supersede any prior agreements.
